FAQ

Questions about the Delaware C-Corp

We also open:

C-Corp or LLC: which one?

An LLC is simpler and usually fits service providers and commerce. A C-Corp is the common format when there are investors or plans to grow fast. The choice is yours, ideally with a lawyer and an accountant.

How is a C-Corp taxed?

As a rule, a C-Corp pays 21% federal tax on profit, and dividends paid to shareholders may be taxed again. Talk to your accountant about your case.

Is the Delaware franchise tax always US$ 175?

No. US$ 175 is the minimum under the authorized shares method, plus US$ 50 for the annual report, by March 1. It can be higher depending on the number of shares and the method.

What is not included?

Not included: domain, e-mail, phone or website; bank account; accounting and IRS filings; state annual fees and registered agent from the second year.

How long does it take?

It depends on the state and the IRS, and no timeline is guaranteed. The filing goes to the state after the order is accepted by the filing partner. Without an SSN, the EIN is requested from the IRS by fax or mail: the IRS indicates about 4 business days by fax and about 4 weeks by mail.

Do I need an SSN?

Not to open the company. The company's EIN can be obtained without an SSN. Some personal uses may require an ITIN, which is issued by the IRS.

Do you open bank accounts?

We guide you on banks and fintechs, but account approval always depends on the institution.

Is Atlas a law or accounting firm?

No. Global Atlas is a business services company and does not provide legal, tax or immigration advice. Regulated services, such as accounting, are handled by licensed professionals.
